1. USE OF PROGRAM. Subject to Your compliance with all the
terms and conditions of this Agreement, SAP grants to You a
non-exclusive, non-transferable license to install and use
the Program internally in your organization solely for
development purposes. Except as otherwise specifically
authorized, this Program is limited to use on one (1) CPU by
a maximum of twenty-five (25) individual connection(s), and
the components of this Program may not be unbundled
and used by different or additional CPUs. Deployment
licenses for any purpose (including, without limitation,
usage in a general production environment or on a webserver)
must be purchased from SAP before you deploy any production

transferred, sold, assigned, sublicensed or otherwise

3. COPYRIGHT AND OWNERSHIP. The Program is owned by SAP, SAP
AG, one or more of their subsidiaries or affiliated
companies, or their licensors and is protected by copyright
laws and international treaty provisions. You acquire only
the non-exclusive right to use the Program as permitted
herein and do not acquire any rights of ownership in the
Program or any other implied rights or licenses under any
intellectual property rights of SAP.
4. CONFIDENTIALITY. "Confidential Information" shall include
the Program (including methods or concepts utilized therein)

confidential. Confidential Information shall remain the sole
property of SAP and shall not be disclosed to any third

agreement with you protecting such Confidential Information
in a manner consistent with this Agreement. Except with
respect to the Program, items will not be deemed

obligation of confidentiality; (iii) independently developed
by you without access to the Confidential Information; or
(iv) if proven to have been known to you at the time of
disclosure. You shall immediately inform SAP if you are
required to produce Confidential Information by operation of
law, and if so requested by SAP, shall provide reasonable
assistance to SAP in seeking to limit such production. A

5. SUPPORT. This Program is provided on an "as is" basis and
is unsupported. This Agreement does not entitle you to any
maintenance or other services or any updates or new versions
of the Program.
6. U.S. GOVERNMENT RESTRICTED RIGHTS. The Program is
Commercial Computer Software. Use, duplication and
disclosure of the Program by the U.S. Government is subject
to restrictions set forth in this Agreement, which
incorporates all applicable FAR provisions, for example FAR
Section 52.227-19. SAP reserves all unpublished rights under
U.S. copyright laws.
7. TERMINATION. This Agreement is effective until
terminated. SAP may immediately terminate this Agreement on
notice to you. You may terminate it at any time by
destroying the Program(s). This license will also terminate

if you fail to comply with any term or condition of this
Agreement. Upon termination, you shall cease using the
Program and shall destroy all copies of the Program in any
form. All disclaimers of warranties and limitations of

8. WARRANTY.
8.1 If Licensee is located outside the United States or
Canada: As the Program is provided to Licensee free of
charge, SAP does not guarantee or warrant any features or
qualities of Program or give any undertaking with regard to
any other quality. No such warranty or undertaking shall be
implied by Licensee from any description in the Program or
any available documentation or any other communication or
advertisement for the Program except to the extent that SAP
has expressly confirmed a specific quality in writing. All
warranty claims are subject to the limitation of liability
stipulated in section 9.1 below.
8.2 If Licensee is located in the United States or Canada:

PROGRAM WILL BE ERROR FREE. ALL WARRANTY CLAIMS ARE
SUBJECT TO THE LIMITATION OF LIABILITY STIPULATED IN SECTION

9. LIABILITY.
9.1 If Licensee is located outside the US or Canada:
Irrespective of the legal reasons, SAP shall only be liable
for damages incurred under this Agreement if such damage (i)
can be claimed under the German Product Liability Act or

(ii) is caused by intentional misconduct of SAP or (iii)
consists of personal injury. In all other cases, neither SAP
nor its employees, agents and subcontractors shall be liable

9.2 If Licensee is located in the US or Canada: IN NO EVENT
SHALL SAP BE LIABLE TO LICENSEE OR TO ANY THIRD PARTY FOR
ANY DAMAGES IN AN AMOUNT IN EXCESS OF $100 ARISING IN
CONNECTION WITH LICENSEE'S USE OF OR INABILITY TO USE THE
PROGRAM OR IN CONNECTION WITH SAP'S PROVISION OF OR FAILURE
TO PROVIDE SERVICES PERTAINING TO THE PROGRAM, OR AS A
RESULT OF ANY DEFECT IN THE PROGRAM. THIS DISCLAIMER OF
LIABILITY SHALL APPLY REGARDLESS OF THE FORM OF ACTION THAT
MAY BE BROUGHT AGAINST SAP, WHETHER IN CONTRACT OR TORT,
INCLUDING WITHOUT LIMITATION ANY ACTION FOR NEGLIGENCE.
LICENSEE'S SOLE REMEDY IN THE EVENT OF BREACH OF THIS
AGREEMENT BY SAP OR FOR ANY OTHER CLAIM RELATED TO THE
PROGRAM OR SAP MATERIALS SHALL BE TERMINATION OF THIS
AGREEMENT. NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN,
UNDER NO CIRCUMSTANCES SHALL SAP AND ITS LICENSORS BE LIABLE

10. INDEMNIFICATION. Licensee shall defend (at its sole
expense) SAP and its affiliates and licensors against claims
brought against SAP by any third party arising from or
related to (i) any use of the Program or service used to
host the Program in violation of any applicable law or
regulation; or (ii) an allegation that Licensee's use of the
Program or service used to host the Program in violation of
this Agreement violates, infringes or misappropriates the
rights of a third party. Licensee will pay damages finally
awarded against SAP (or the amount of any settlement
Licensee enters into) with respect to such claims, and will
pay reasonable attorney's fees in connection with such
defense. The foregoing shall apply regardless of whether
such damage is caused by the conduct of Licensee or by the

conduct of a third party using Licensee's credentials.
11. EXPORT. The Program is subject to German, EU and US
export control regulations. Licensee confirms that: a)
Licensee will not use the Program for, and will not allow
the Program to be used for, any purposes prohibited by
German, EU and US law, including, without limitation, for
the development, design, manufacture or production of
nuclear, chemical or biological weapons of mass destruction,
b) Licensee is not located in a country that is subject to a
U.S. Government embargo, or that has been designated by the
U.S. Government as a "terrorist supporting" country, c)
employees of Licensee are not a citizen, national or
resident of, and are not under the control of, the
government of: Cuba, Iran, Sudan, Iraq, North Korea, Syria,
nor any other country to which the United States has
prohibited export, d) Licensee will not download or
otherwise export or re-export the Program, directly or
indirectly, neither to the above-mentioned countries nor to
citizens, nationals or residents of those countries, e)

employees of Licensee are not listed on the United States
Department of Treasury lists of Specially Designated
Nationals, Specially Designated Terrorists, and Specially

other U.S. government list of prohibited or restricted
parties, and f) Licensee will not download or otherwise
export or re-export the Program, directly or indirectly, to
persons on the above-mentioned lists.
12. GOVERNING LAW; COMPLETE AGREEMENT. This Agreement
constitutes the complete agreement between the parties with
respect to the Program and is governed by and construed in
under the laws of the state, territory and/or country in
which SAP, as defined hereinabove, is located without
reference to its conflict of law principles. If any
provision of this Agreement is held to be unenforceable,
such provision shall be limited, modified or severed, as
necessary, to eliminate its unenforceability, and all other
provisions shall remain unaffected. The failure or delay of

either party to exercise any of its rights shall not be
deemed a waiver of such rights, and no waiver of any breach
of this Agreement shall constitute a waiver of any other

13. PRODUCT SPECIFIC LICENSE TERMS. You acknowledge and
agree that the Program may be subject to additional or
supplemental terms and conditions ("Product Specific License
Terms") that are posted on www.sybase.com/pslt as of the
Effective Date of this Agreement and You agree to the
applicable Product Specific License Terms. In addition, the
Program may contain or be provided with component software
products from both Sybase and third parties. Except as set
forth below, use of all components is limited to use in the
same manner and capacity for which the Program as a whole is
licensed. The terms of this Agreement govern the Sybase
components provided with the Program, notwithstanding any
other Sybase license documentation that may accompany those
components. Additional licenses for Sybase components may be
available from SAP for a fee.

A. Sybase Developer Components/Distributable
Components/Sample Code. The Program may contain or be
provided with developer copies of the Sybase Software
Developer's Kit, Open Server and PowerDesigner® ("Developer
Components"). The Developer Components are licensed without
further charge for use on a single computer system for
development purposes only. Use and distribution of the
Distributable Components of the Program and/or of the
Developer Components (as specified in and subject to the
limitations in the Documentation) is permitted without
charge. You may use and modify the source code version of
those portions of the Program and/or the Developer
Components that are provided as sample code (if any) for
your internal use only.
B. Free Download Components. The Program, including any
Developer Components provided with it, may include certain

Components. Nothing in the foregoing affects any performance
warranty provided by SAP with regard to the Program as a

14. ASSIGNMENT. Licensee may not, without SAP's prior

voluntarily or by operation of law, including by way of sale
of assets, merger or consolidation. SAP may assign this
Agreement to any of its affiliates.
15. MISCELLANEOUS. This Agreement is the complete
Agreement for the Program. This Agreement supersedes all
prior or contemporaneous agreements or representations with
regards to the subject matter of this Agreement. If any term
of this Agreement is found to be invalid or unenforceable,
the surviving provisions shall remain effective. SAP´s
failure to enforce any right or provisions stipulated in
this Agreement will not constitute a waiver of such
provision, or any other provision of this Agreement.
