不可抗力/Force Majeure

Force majeure refers to a clause that is included in contracts to remove liability arising from natural and unavoidable catastrophes that will interrupt the expected course of events and restrict participants from fulfilling their obligations.

不可抗力是指为免除因自然灾害和不可避免灾害(该等自然灾害将中断事件的预期进程,并限制了参与者履行其义务)产生的责任,而在合同中订立的条款。

Force majeure is a French term that literally means "greater force." It is related to the concept of an act of God, an event for which no party can be held accountable, such as a hurricane or a tornado. Force majeure also encompasses human actions, however, such as armed conflict.

“Force majeure”是一个法语词,字面意思是“更强大的力量”。不可抗力与“天灾”的概念有关,在出现天灾的情况下,任何一方都无需为之负责,天灾包括飓风或龙卷风。然而,不可抗力也包括人的行为,如武装冲突。

Generally speaking, for events to constitute force majeure, they must be unforeseeable, external to the parties of the contract, and unavoidable. These concepts are defined and applied differently by different jurisdictions.

一般来说,构成不可抗力的事件必须是不可预见的、合同双方以外的且不可避免的。这些概念在不同的司法管辖区有不同的定义和适用情况。
